1. About these Terms
These Client Portal Terms and Conditions (“Terms”) govern your use of the Navanto client portal. Navanto Ltd (“Navanto”, “we”, “us”) provides the portal as part of its construction project management application (the “Service”). Navanto Ltd is registered in England and Wales (company number 17073806), with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
You are reading these Terms because an organisation that uses Navanto (the “Project Owner”) has invited you, as a client or other project stakeholder (a “Viewer”), to view information relating to a construction project. These Terms apply to you whether you are acting as a business or as a private individual (a consumer). They are separate from, and lighter than, the Terms and Conditions that apply to the Project Owner and its own users.
You accept these Terms by clicking “I accept” (or equivalent) when you first sign in to the portal.
2. Your access
Your access to the portal is granted by the Project Owner who invited you, and is provided to let you view information they have chosen to share with you and, where the Project Owner enables it, post comments. Your access is:
- limited — you can view the information shared with you and, where the Project Owner enables it, post comments; you cannot otherwise edit the project or its content;
- time-limited — access typically ends three months after the relevant project is completed, and may be ended earlier by the Project Owner or by us; and
- not guaranteed to continue — the Project Owner controls what is shared with you and for how long, and may grant or withdraw your access at any time.
We do not guarantee that the portal will always be available or uninterrupted.
3. The information you see
The information shared with you through the portal belongs to, and is controlled by, the Project Owner — not Navanto. We host and display it on the Project Owner’s behalf; we do not author, check or verify it. If you have any question about the information, believe it is inaccurate, or want a copy or correction, please contact the Project Owner in the first instance.
Some information may have been produced with the assistance of AI features. AI-assisted output can be inaccurate or incomplete and should not be relied on for any safety-critical, structural, regulatory, contractual or financial decision without independent verification by a suitably qualified professional.
If you post comments through the portal, you are responsible for their content. You confirm that you have the right to share what you include in them, and you grant the Project Owner and Navanto a licence to store, display and process your comments as part of the project, in accordance with these Terms and our Privacy Policy. Your comments may be visible to the Project Owner and to others they have authorised to access the project.
4. Acceptable use
When using the portal, you agree to:
- keep your sign-in details secure and not share them with anyone else;
- use the portal only to view, and comment on, information shared with you for the purpose for which it was shared;
- ensure that any comments you post are lawful and not infringing, defamatory, offensive or misleading, and that you have the right to share what they contain;
- not attempt to gain unauthorised access to the Service, to other users’ accounts, or to information not shared with you; and
- not copy, republish or distribute the information beyond what is reasonably necessary for that purpose, or in a way that infringes anyone’s rights.
5. Your privacy
For information relating to the project, the Project Owner is the data controller and decides how that information is used. If you want to exercise any data protection rights in respect of that information (such as access or correction), please contact the Project Owner.
Navanto processes limited account and technical data about your use of the portal (such as your sign-in identifier and activity logs) as a controller, in order to operate and secure the portal. How we handle that data is described in our Privacy Policy.
6. Intellectual property
The portal and the Service, including their software, design and branding, are owned by Navanto Ltd and its licensors. We grant you a personal, non-exclusive, non-transferable right to access the portal to view the information shared with you, for as long as your access lasts. No other rights are granted.
7. Our responsibility to you
Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded under applicable law. If you are a consumer, nothing in these Terms affects your statutory rights.
Subject to that, and to the fullest extent permitted by law:
- the portal and the information shown in it are provided on an “as is” and “as available” basis, and we do not warrant that the portal will be uninterrupted, error-free, or that any information shown in it is accurate or complete (the Project Owner is responsible for the information);
- we are not liable for any loss that was not reasonably foreseeable, or that did not arise as a result of our breach of these Terms or our negligence; and
- we are not liable for any loss arising from your reliance on information provided by the Project Owner, which is the Project Owner’s responsibility.
We do not ask you to give us any indemnity.
8. Changes
We may update these Terms or the portal from time to time. If we make material changes to these Terms, we will ask you to accept the updated version before you continue using the portal. The Project Owner may change or end what is shared with you at any time, as described in section 2.
9. Governing law
These Terms are governed by the laws of England and Wales. If you are a consumer, you benefit from any mandatory protections of the law of the part of the UK where you live, and you may bring proceedings in the courts of that part of the UK; otherwise, the courts of England and Wales have exclusive jurisdiction.
